§ 1 Prices
Two company types.
One price each.
Our fee in US dollars, excluding tax. Government fees are added at cost in yen.
Government fees, at cost
Paid at cost in yen, on top of our fee. GK: registration tax ¥60,000. KK: registration tax ¥150,000, plus ¥15,000 to ¥50,000 for the notary to certify the articles. The tax is 0.7% of the capital if higher (above about ¥8.6 million for a GK, ¥21.4 million for a KK). No ¥40,000 stamp duty, which applies to paper articles (Stamp Tax Act, Table 1, No. 6): we file them electronically. Certified copies and certificates cost a few hundred yen each. Total with our fee, at ¥150 to the dollar: about US$890 (GK) or US$1,900 to US$2,100 (KK).

§ 3 Terms

- (a)The articles are AI-assisted drafts, reviewed and approved by a Japan-qualified lawyer.
- (b)Draft articles in 2 business days after we receive your answers and documents. We file once the documents are signed (overseas, with a signature certificate from your home country), and the registration then follows the Legal Affairs Bureau.
- (c)The articles in Japanese as filed, with an English reference translation.
- (d)One round of revisions to the draft.
- (e)Online filing of the registration by the lawyer as your agent.

§ 4 Questions
Before you order.
Q.01Do I need to come to Japan?
Not for the incorporation. We file the registration online as your lawyer, and a KK’s representative directors may all live outside Japan (Ministry of Justice notice of 2015). Founders overseas sign on paper with a signature certificate from their home country’s authorities (such as its embassy) or a notary in their home country, and send the originals to us by post. The capital must be paid into an account at a bank in Japan or at a Japanese bank’s branch abroad. If every founder and director lives outside Japan, the account may belong to someone else (Ministry of Justice guidance). Opening the company’s own bank account is a separate step.
Q.02GK or KK?
A GK (godo kaisha) costs less to set up: ¥60,000 of registration tax and no notary. It also has no duty to publish its balance sheet each year, and no directors’ terms to renew. A KK (kabushiki kaisha) issues shares and has directors elected by the shareholders. Depending on the industry, a KK can be better received by customers and business partners in Japan. In both, the owners’ liability is limited to what they contribute (Companies Act, Arts. 104 and 580(2)).
Q.03What does it cost in total?
Our fixed fee is US$490 for a GK and US$790 for a KK. Government fees are added at cost in yen: ¥60,000 of registration tax for a GK, and for a KK ¥150,000 of registration tax plus a notary fee of ¥15,000 to ¥50,000 (more if the capital is large).
Q.04Does a lawyer really review the documents?
Yes. Masayuki Tani, a Japan-qualified lawyer (Daini Tokyo Bar Association), reviews and approves the articles and files the registration. Nothing is filed without that approval.
Q.05What is not included?
Business licences, visas, opening the bank account, contributions in kind, class shares and a KK with a board of directors. We introduce specialists, or quote separately before any work starts.
Q.06How do you keep my information confidential?
We are bound by the duty of confidentiality under the Attorney Act. The AI tools we use are business services that do not use your data to train their models. Your answers and ID are stored in our office’s Google Workspace.
